The QUINNIPIAC LAW REVIEW, Volume 41 Issue 3 is pleased to announce a call for papers for its annual symposium to be held in March, 2023. This QUINNIPIAC LAW REVIEW symposium issue is entitled Texas Gulf Sulphur: 55 Years Later.
The discovery of rich mineral deposits reportedly worth billions of dollars by agents of Texas Gulf Sulphur Co. (TGS) led to a series of alleged insider trading stock transactions. TGS issued a press release dispelling rumors about the results of its exploratory drilling and subsequent findings. The Securities and Exchange Commission (SEC) brought an action against TGS and numerous officers, directors and employees alleging violation of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5. After a decision by a Federal District Court, in the Southern District of New York, TGS appealed. In a landmark decision, the Second Circuit Court of Appeals represented the first time a federal court held that insider trading violated federal securities law. SEC v. Texas Gulf Sulphur would stand for the next decade as the pre-eminent insider trading rule.
This QUINNIPIAC LAW REVIEW issue broadly seeks to reexamine the holding and standards articulated 55 years ago. We also seek to discuss Texas Gulf Sulphur in light of Supreme Court cases in its aftermath. The symposium will be an all-day event held in-person at the law school. The event will feature presentations from students and authors, photographs, artwork, and other historically significant displays relevant to the symposium.
We invite submissions of abstracts of at least 500 words for proposals for articles between
